KACDL Leadership

KACDL's leadership is comprised of a Board of Directors and Executive Officers. The Association has a President; a President-Elect; a First Vice-President; an Executive Director; and such other offices and sub-offices as the Board of Directors shall, from time to time, by resolution create.

Board of Directors

The management of the affairs of the Association is vested in its Board of Directors. The Board of Directors is composed of the President of the Association; the President-Elect; the First Vice-President; twelve (12) Directors at Large; the Association’s Legislative Agent; the Public Advocate of the Commonwealth of Kentucky or such person’s designee; the Louisville Metro Public Defender or such person’s designee; and all otherwise-qualified former Presidents of the Association who served in such office within the past 10 years. Former Presidents who served in such office more than 10 years ago automatically become emeritus members of the Board of Directors. Emeritus members of the Board are non-voting members and do not count toward a quorum at any meeting of the Board.

Executive Committee

The Executive Committee consists of the officers of the Association, the Immediate Past-President of the Association, and the chair of each standing committee provided said chair is a member of the Board of Directors. The Executive Committee exercise all the authority of the Board of Directors, except that it does not have the authority of the Board of Directors in reference to amending, altering or repealing the By-laws; electing, appointing or removing any member of any committee or any Director or officer of the Association; amending the Articles of Incorporation, restating the Articles of Incorporation, adopting a plan of merger or adopting a plan of consolidation with another corporation; authorizing the sale, lease, exchange, mortgage or gratuitous conveyance of all or substantially all of the property and assets of the Association; authorizing the voluntary dissolution of the Association or revoking proceedings therefor; adopting a plan for the distribution of the assets of the Association; or amending, altering or repealing any resolution of the Board of Directors which by its terms provides that it shall not be amended or repealed by such committee.

Standing Committees
Each standing committee consists of at least one or more Directors, and exercises only such authority of the Board of Directors as is set out in the By-laws.

Meetings
The Board of Directors hold an annual meeting in conjunction with the Annual KACDL Conference & Criminal Defense Seminar each year, and hold regular meetings at minimum 3 times per year. Special meetings are held at such other times and places as the President, or, when absent or disabled, the President-Elect may determine. Special meetings of the Board of Directors may be called at any time by the President or by a majority of board members, or by a majority of the executive committee.
